EXHIBITOR CONTRACT
|
| 1) AGREEMENT TO CONDITIONS |
| Each
Exhibitor and employees of Exhibitor agree to abide by these conditions,
it being understood and agreed that the sole control of the exhibit
hall rests with TitleTech. |
| 2) ASSIGNMENT OF SPACE |
| All
booths assignments will be made on a first-come, first-serve basis.
TitleTech management reserves the right to change assignments in rare
instances at its sole discretion if and when necessary. |
| 3) PAYMENT |
| A
minimum deposit of $600 per primary booth and $100 for each additional
booth must be submitted with registration in order to secure booth
space. Your final balance will be due by December 1, 2000. Exhibitor
Registrations will be accepted after December 1, 2000 providing space
availability, with full payment only. |
| 4) CANCELLATION OR RELOCATION
OF CONVENTION |
| Upon
cancellation and or relocation of meeting, the liability of TitleTech
shall be limited to a refund of the rental fee. |
| 5) CANCELLATION / CHANGES / ADDITIONS
BY EXHIBITOR |
| All
changes and or additions to the information provided herein must be
made in writing. Written cancellations received prior to February
1, 2001 will be accepted with a 50% refund, less the $600/booth deposit.
No refunds will be issued for cancellations received after February
1, 2001. |
| 6) LIABILITY |
|
TitleTech undertakes
no duty to exercise care, nor assumes any responsibility for the
protection of the property of the Exhibitor or its representatives,
or of property used in connection with the exhibit from theft or
damage or destruction by fire, accident or other cause. Small and
easily portable articles shall be properly secured or removed after
exhibition hours and placed in safekeeping by the Exhibitor. Any
protection exercised in fact by TitleTech shall be deemed purely
gratuitous on its part and shall in no way be construed to involve
it in liability by the Exhibitor.
TitleTech shall not be
liable for the fulfillment of this agreement as to delivery of space,
if non delivery is due to any of the following causes: destruction
of or damage to the building or the exhibit area by fire or acts
of God; acts of a public enemy; strikes; the authority of the law;
or any cause beyond its control. TitleTech will, however, in the
event it is not able to hold an exhibit for any of the above named
causes, reimburse Exhibitors pro rata on any rental fee paid, less
any and all legitimate expenses incurred by TitleTech for advertising,
administration, etc. Exhibitor assumes entire responsibility and
hereby agrees to protect indemnify, defend and save TitleTech and
the exhibit facility, its owners and affiliated companies, and all
employees and agents hereof (hereinafter collectively called "indemnities")
forever harmless against all claims, losses and damages to persons
or property, governmental charges or fines and attorneys fees arising
out of or caused by Exhibitors installation, removal, maintenance,
occupancy or use of the exhibition premises or a part thereof, excluding
any such liability caused by the sole negligence of the Indemnities
and their employees and agents.
In Addition, Exhibitor
acknowledges that TitleTech and the Indemnities do not maintain
insurance covering Exhibitors property and that it is the
sole responsibility of Exhibitor to obtain business interruption
and property damage insurance covering such losses by Exhibitor.

| 7) PROTECTION OF EXHIBIT FACILITY |
| Nothing
shall be posted on, or tacked, nailed, screwed, or otherwise attached
to columns, walls, floors, or other parts of the hotel exhibit area
without permission from the proper building authority. Packing, unpacking,
assembling of and dismantling of booths will be done in strict accordance
with guidelines set by TitleTech and GES Exposition Services. All
union regulations will be adhered to. |
| 8) BOOTH REGULATIONS |
| Standard
booth equipment (back and sidewall draping, and identification sign)
will be provided by TitleTech without cost to the Exhibitor. If an
Exhibitor plans to install a completely constructed display of such
a character that the Exhibitor will not require or desire the use
of standard booth equipment, no part thereof shall so project as to
obscure the view of the adjacent booths. No display may exceed a height
of eight feet on the back wall nor be higher than the 3 feet side
wall specifications. Carpeting shall be limited to exhibitors
booth(s) only, and will not be permitted to cross any aisles. The
playing of music or any form of sound amplification is strictly prohibited.
Exhibitor agrees not to conduct its operation in a manner that shall
infringe up on the rights and privileges of another with the use of
objectionable lighting or mechanical reproduction of sound or music.
Show Management reserves the right to restrict exhibitors that may
be deemed objectionable. All Exhibitors will adhere to the fire and
electrical regulations of the city of Denver, Colorado. |
| 9) USE OF SPACE |
| No
Exhibitor may assign, sublet or apportion the whole or any part of
his or her booth space. Nor may an Exhibitor permit any other person
or party to exhibit therein without the written permission of the
TitleTech Management. Nor shall any Exhibitor have the right to solicit
business within any public space controlled by management during the
course of this conference unless specific approval is received by
management. No Exhibitor shall be allowed to create a diversion that
will reduce the attendance at TitleTech or engage in any activity
that shall be deemed detrimental to any other exhibitor. To do so
would require automatic expulsion from TitleTech and could have ramifications
for future events. Additionally, no exhibitor shall engage in loud
activities or presentations that may diminish the existence of other
exhibitors. |
| 10) INSTALLATION AND DISMANTLING |
|
The specific requirements
as to time for installation and dismantling of exhibits shall be
supplied to Exhibitor. Such requirements shall be binding upon the
licensee as though fully set forth herein. All displays must be
in place and set up by the time of the official opening of the show.
Space not occupied by that time may be re-assigned for other purposes
by TitleTech Management. If the exhibit space is not set up during
official installation hours, TitleTech Management will instruct
the Exhibit Company to setup the booth and the Exhibitor will incur
this cost. No Exhibitor will be permitted to dismantle prior
to the official close of the show. Any company violating this
regulation may be denied exhibit space in future TitleTech expositions.
Where a union contract
covers the exposition, it will be necessary that all exhibitors
use qualified union personnel for the various services required
for material handling within the show. The handling, placing or
setting of merchandise that is to be displayed does not require
union labor and may be done by the exhibitor. In addition, the installation
or dismantling of an exhibit which does not require the use of hand
tools, or more than one person, and can be accomplished with thirty
minutes, may be performed by the owner or company representative.
Union rules vary from city to city, therefore, consult your official
show kit for union rules relating to this specific show.

| 11) DEFAULT OCCUPANCY |
| Any
Exhibitor failing to occupy space contracted for is not relieved of
the obligation of paying for such space at the full rental price.
TitleTech shall have the right to use such space as it sees fit to
eliminate blank space in the exhibit hall, provided such booth space
is not occupied by one hour before the official show opening. |
| 12) PERSONNEL |
| All
personnel working at an exhibit booth will be registered attendees,
and will wear appropriate TitleTech badges at all times. Admission
to TitleTech is by badge only. Badges are not transferable. You must
staff you booth at all times when exhibits are open. |
